Antigua $230K CBI plus IBC offshore structure versus São Tomé $95K bare passport. Over a 5-year HNW three-generation tax-planning horizon, how big is the gap? That comparison question came up the most across my WhatsApp inbox over the past 60 days. As of May 13, 2026, when I run the two paths on the same dimensions, the $135K entry gap buys you an OECD CRS-compliant offshore company, 150+ visa-free countries including Schengen and UK 180 days, full three-generation coverage, and a real asset-segregation structure. Here is the ledger.

Antigua and Barbuda CBI is the only program in the 8-passport set where you can pair the citizenship with a mature IBC offshore structure. Antigua IBC registration runs 5-7 business days, costs $1,500-3,500, and fully complies with OECD CRS and FATF international transparency standards. São Tomé is the cheapest entry in the set at $95K, but the local offshore ecosystem is not yet built. The two paths serve fundamentally different client profiles. I have done CBI for 11 years and closed 30+ Antigua + IBC combinations. I cannot afford to be wrong.

When to Choose Antigua + IBC

First, you have cross-border assets and cross-border income. You need a CRS-compliant offshore structure to formalize asset holding and regularize cross-border flows. Antigua IBC is the most mature option in the 8-passport set.

Second, you value Schengen plus UK 180-day visa-free travel. Antigua has both. São Tomé has neither. For a client who flies to Europe 3-5 times a year, the visa-free value is easily $50K+ annually (visa cost, time cost, refusal-risk cost).

Third, you have a family of 4 or more. Antigua $230K is the best-priced 4-person family option in the set. With three-generation coverage, Antigua beats Saint Kitts by $20K+ for a 4-person family.

Fourth, you can visit Antigua at least once over the 5-year window. Antigua requires 5 days of cumulative landing within 5 years. This is a soft constraint, but it is real.

When to Choose the São Tomé Bare Passport

First, your budget caps at $130K. $95K is the lowest entry in the set.

Second, you do not need an offshore company and you do not need Schengen or UK access. Your need is “family Plan B and emergency backup.” São Tomé fits exactly.

Third, you are using the São Tomé Portuguese-language identity lever for your child’s EU university tuition (see my separate May 13, 2026 article on the São Tomé education path).

Fourth, this is your first passport in a multi-passport portfolio plan. São Tomé $95K is the best-priced “first slot.”

Three Hidden Points 90% of Agents Will Not Tell You About Antigua + IBC

Truth one: Antigua IBC is not a “tax-free haven.” It is a compliance structure. The IBC is exempt for local residents and has tax arrangements for non-residents, but all information is automatically reported under OECD CRS to your tax residency country. If you think setting up an IBC erases your tax exposure, you are flat wrong. It is a compliant vehicle, not a hiding place.

Truth two: the 5-days-over-5-years residency is soft, but it is not zero. Antigua CIP tightened landing-record reviews in 2025-2026. Zero landings across 5 years can create friction at renewal or second-generation application. My advice: complete at least 2-3 days within the first 12 months after approval, just to establish the record (and use the trip to set up the IBC in person).

Truth three: Antigua IBC fits asset holding, not heavy operational use. If you want to run real cross-border trade operations, Antigua is not optimal. Annual costs run $5-10K and the operational ecosystem is thinner. The IBC’s core value is being a clean, compliant shell for holding assets and receiving passive income.

Real Case: A Manufacturing Family’s 5-Year Tax Architecture

Anonymized case from Q1 2026.

A manufacturing HNW family in southern China. Main applicant 55, spouse 52, son 28 (married), daughter 24 (studying in Europe), main applicant’s father 78 (healthy), mother 76 (healthy). A 6-person three-generation household. Family net worth in a reasonable HNW range. Needs: three-generation coverage, offshore asset-holding structure, and Schengen access (to visit the daughter in Europe).

They opened with the obvious question: “São Tomé is $95K with the same price for 6 people. Isn’t that the best deal in the set?” I asked them to add two more lines to the ledger. One, São Tomé has no Schengen visa-free, and with their daughter in Europe they fly there 4-6 times a year. Visa costs plus time costs add up to $30K+ annually. Two, the family has spent over a decade in cross-border trade and will likely need to move part of their asset base to a CRS-compliant offshore structure within 5 years. São Tomé does not have that ecosystem.

Ken’s call: Antigua $230K (a 6-person family with 55+ parents and siblings runs around $260K) plus IBC $2.5K 5 years = 5-year total around $272.5K. São Tomé $95K (same price for 6) plus 5 years of European visa cost at $30K 5 = $245K, with no offshore structure. The Antigua combo costs roughly $27.5K more, but delivers Schengen, UK access, a compliant offshore shell, and three-generation coverage. Not the most expensive, not the cheapest. Only the most appropriate. The family chose Antigua + IBC and entered due diligence in April 2026.

FAQ: Antigua + IBC vs São Tomé Bare Passport

Q: Are these two paths alternatives or complements?

A: For most clients they are alternatives. Pick one. For HNW families with USD $5M+ in net worth, sometimes both: São Tomé as emergency backup plus Antigua as the primary identity and offshore vehicle. That stacking is the most efficient combination across the 8-passport set.

Q: Is Antigua IBC registration really 5-7 days?

A: Yes, but that is just “company registration.” A full setup including bank account, KYC, and operational structure typically takes another 30-60 days. The $1,500-3,500 is the registration fee, not annual compliance, director services, and tax filing. Annual costs of $2K-5K are standard.

Q: What if I cannot meet the 5-day Antigua landing requirement?

A: Five days is a soft rule. There are no documented 2025-2026 passport revocations for non-compliance, but the CIP has tightened checks. Zero landings over 5 years will create friction at second-generation application or at renewal. Plan at least 2-3 days within the first year to establish the record.

Q: Is São Tomé good for offshore structuring?

A: Not yet. São Tomé CBI only launched in August 2025. The local offshore legal framework, banking, and professional services ecosystem is still being built. For offshore structuring in 2026, the realistic choices remain Antigua, Saint Kitts, or BVI.
